Welcome to Cybool. These Terms of Use ("Terms") govern your access to and use of our cybersecurity platform, services, and website. Please read these terms carefully before using our services.
1. Acceptance of Terms
By accessing or using Cybool's services, platform, or website, you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access or use our services.
These terms constitute a legally binding agreement between you (or the organization you represent) and Cybool. Your continued use of the services constitutes ongoing acceptance of these terms, including any modifications we may make from time to time.
2. Description of Services
Cybool provides comprehensive cybersecurity services including but not limited to:
• Managed Detection and Response (MDR) and SOC 24/7 monitoring
• Governance, Risk, and Compliance (GRC) solutions
• ISO 27001 and NIS2 compliance consulting
• Penetration testing and security assessments
• Email security and phishing protection
• Cloud and SaaS security services
• Incident response and digital forensics
• Threat intelligence and vulnerability management
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to customers.
3. User Accounts and Responsibilities
To access certain features of our platform, you must create an account. You agree to:
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account
• Comply with all applicable laws and regulations
• Use the services only for lawful business purposes
You may not share your account credentials or allow unauthorized access to your account. We reserve the right to suspend or terminate accounts that violate these terms.
4. Acceptable Use Policy
You agree not to:
• Use our services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble our software or platform
• Use automated systems to access our services without permission
• Violate any laws, regulations, or third-party rights
• Engage in any activity that could harm Cybool's reputation or operations
• Resell or redistribute our services without authorization
Violation of this acceptable use policy may result in immediate termination of your access to our services and potential legal action.
5. Intellectual Property Rights
All content, features, and functionality of our services, including but not limited to:
• Software, code, and platform technology
• Text, graphics, logos, and visual designs
• Documentation, reports, and methodologies
• Threat intelligence and security research
• Trademarks and brand materials
are owned by Cybool or our licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes only. This license does not include any right to:
• Reproduce, modify, or create derivative works
• Distribute, sell, or sublicense our services
• Remove or alter any proprietary notices
• Use our intellectual property for competitive purposes
6. Data Security and Client Responsibilities
While we implement industry-leading security measures, including:
• ISO 27001 certified information security management
• Encryption of data in transit and at rest
• 24/7 security monitoring and incident response
• Regular security audits and penetration testing
• Multi-factor authentication and access controls
You acknowledge that:
• No security system is impenetrable or completely secure
• You are responsible for implementing appropriate security measures on your end
• You must promptly report any suspected security incidents to us
• You are responsible for backing up your own data
• You must comply with our security guidelines and recommendations
We are not liable for security breaches resulting from your failure to follow security best practices or maintain adequate security controls.
7. Service Level Agreement (SLA)
For customers with active service agreements, we commit to:
• 24/7 SOC monitoring and support availability
• Response times as specified in your service agreement
• Uptime guarantees as outlined in your contract
• Regular reporting and communication
Specific SLA terms, including service credits for downtime, are detailed in your individual service agreement. These terms supplement but do not replace the SLA provisions in your contract.
Scheduled maintenance, force majeure events, and issues caused by third-party services or your own systems are excluded from SLA calculations.
8. Confidentiality
Both parties agree to maintain the confidentiality of:
• Proprietary information and trade secrets
• Security vulnerabilities and threat intelligence
• Business strategies and operational details
• Customer data and system configurations
• Pricing, terms, and contract details
Confidential information may only be disclosed:
• To employees and contractors with a legitimate need to know
• As required by law or legal process
• With prior written consent of the disclosing party
• If it becomes publicly available through no fault of the receiving party
Confidentiality obligations survive termination of the agreement and continue for a period of 5 years unless otherwise specified in your contract.
9. Limitation of Liability
To the maximum extent permitted by law:
• Cybool's total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for damages resulting from your misuse of our services
• We are not liable for third-party actions or service interruptions
• We are not liable for data loss if you fail to maintain adequate backups
This limitation applies regardless of the form of action (contract, tort, negligence, strict liability, or otherwise).
Some jurisdictions do not allow certain limitations of liability, so these limitations may not apply to you. Nothing in these terms excludes our liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by our negligence.
10. Indemnification
You agree to indemnify, defend, and hold harmless Cybool, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:
• Your violation of these terms
• Your misuse of our services
• Your violation of any laws or third-party rights
• Your negligence or willful misconduct
• Content you submit or transmit through our services
• Disputes between you and third parties
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
11. Payment Terms
For paid services:
• Fees are as specified in your service agreement or quote
• Payment is due within 30 days of invoice date unless otherwise agreed
• Late payments may incur interest charges of 1.5% per month
• We reserve the right to suspend services for non-payment after notice
• All fees are non-refundable unless otherwise stated in your agreement
• You are responsible for all taxes except those based on our income
Prices may be adjusted annually with 60 days' notice. If you disagree with price changes, you may terminate at the end of your current term.
12. Term and Termination
These terms remain in effect while you use our services. Service agreements have specific terms as outlined in your contract.
Either party may terminate for cause if the other party:
• Materially breaches these terms and fails to cure within 30 days
• Becomes insolvent or files for bankruptcy
• Engages in illegal activities
Upon termination:
• Your access to services will be discontinued
• Outstanding fees become immediately due
• We will return or destroy your data as specified in your agreement
• Provisions regarding confidentiality, liability, and indemnification survive
We may also suspend services immediately if we reasonably believe there is a security threat or violation of these terms.
13. Modifications to Terms
We reserve the right to modify these terms at any time. Changes will be effective:
• Upon posting to our website for prospective changes
• After providing notice for material changes affecting existing customers
• As specified in any notification we send to you
Your continued use of services after changes become effective constitutes acceptance of the modified terms. If you do not agree to changes, you must discontinue use of our services.
Material changes that adversely affect your rights will be communicated via email at least 30 days before taking effect.
14. Dispute Resolution
In the event of any dispute arising from these terms or our services:
1. **Informal Negotiation**: The parties agree to first attempt to resolve disputes through good-faith negotiation for 30 days.
2. **Mediation**: If negotiation fails, disputes will be submitted to mediation before a mutually agreed mediator.
3. **Arbitration**: If mediation is unsuccessful, disputes will be resolved through binding arbitration under the rules of the applicable arbitration authority, conducted in the jurisdiction specified in your service agreement.
4. **Exceptions**: Either party may seek injunctive relief in court for breaches of confidentiality or intellectual property rights.
5. **Class Action Waiver**: All disputes must be brought individually, and you waive any right to participate in class actions or representative proceedings.
15. Governing Law
These terms are governed by and construed in accordance with the laws of Israel, without regard to conflict of law principles.
For international customers, local laws may also apply, and nothing in these terms restricts statutory rights you may have under applicable consumer protection laws.
Any legal action related to these terms must be brought in the courts of Tel Aviv, Israel, though we retain the right to bring claims in your jurisdiction if you breach these terms.
16. General Provisions
**Entire Agreement**: These terms, together with your service agreement and privacy policy, constitute the entire agreement between you and Cybool.
**Severability**: If any provision is found unenforceable, the remaining provisions remain in full effect.
**Waiver**: Our failure to enforce any right or provision does not constitute a waiver of that right.
**Assignment**: You may not assign these terms without our written consent. We may assign our rights and obligations without restriction.
**Force Majeure**: Neither party is liable for delays or failures due to circumstances beyond reasonable control (natural disasters, war, cyber attacks, pandemics, etc.).
**No Third-Party Beneficiaries**: These terms do not create rights for any third parties.
**Notices**: All notices must be in writing and sent to the addresses specified in your service agreement.

Acknowledgment: By using Cybool's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you are accepting these terms on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
